Terms of Service

1. Acceptance of Terms

By accessing and using Tidalflats' AI consulting services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Services Description

Tidalflats provides AI technology consulting services including:

• AI-driven event planning consultation and implementation
• Operations optimization through artificial intelligence
• Strategic AI implementation planning and execution
• Lead generation and advertising channel integration
• Custom AI solution development and deployment

3. Service Engagement

All consulting services are provided on a project basis or hourly rate as agreed upon in writing. Service engagement begins only after:

• Completion of our qualification process
• Execution of a formal service agreement
• Receipt of initial payment or deposit as specified

4. Payment Terms

Payment terms are as follows:

• Hourly rates: $175 (Starter), $325 (Professional), $475 (Enterprise)
• Invoices are due within 30 days of receipt
• Late payments may incur a 1.5% monthly service charge
• All prices are subject to change with 30 days written notice

5. Intellectual Property

Client retains ownership of their proprietary data and business information. Tidalflats retains ownership of:

• Methodologies and frameworks developed prior to engagement
• General knowledge and experience gained during the project
• Tools and templates created for general use

Custom solutions developed specifically for the client become the property of the client upon full payment.

6. Confidentiality

Tidalflats agrees to maintain strict confidentiality regarding all client information, data, and business processes. This obligation continues indefinitely beyond the termination of services.

7. Limitation of Liability

Tidalflats' liability is limited to the amount paid for services in the 12 months preceding any claim. We are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Third-party claims or actions
• Force majeure events beyond our reasonable control

8. Performance Standards

While we strive for excellence, AI implementations involve inherent uncertainties. We do not guarantee specific performance metrics or business outcomes, but commit to:

• Industry best practices and professional standards
• Transparent communication throughout the engagement
• Reasonable efforts to achieve stated objectives

9. Termination

Either party may terminate services with 30 days written notice. Upon termination:

• Client pays for all services rendered through termination date
• Tidalflats delivers all completed work products
• Confidentiality obligations remain in effect

10. Governing Law

These terms are governed by the laws of the State of Texas. Any disputes will be resolved through binding arbitration in Odessa, Texas.
